What are entitlements in real estate development?

Entitlements are the government approvals that give a property the legal right to be developed for a specific use, density, and design, such as zoning, site plan approval, subdivision or plat approval, variances, and environmental clearances. Lenders care because a site without the entitlements for the planned project is worth what it can legally become today, and most construction lenders will not fund until approvals are final.

What counts as an entitlement

The term covers every discretionary and administrative approval needed before permits can be issued. The specific list depends on the jurisdiction and the project, and the names change from city to city.

Discretionary approvals, which a board or council can deny, carry more risk than administrative ones that staff issues when the plans meet the code. A lender reads the difference closely.

How entitlement status changes the financing

Unentitled land is the hardest collateral to finance. Value depends on an approval that may not come, may come with costly conditions, or may be appealed. Lenders that fund at this stage are usually private or specialty sources, with lower leverage and higher cost, and they underwrite the sponsor's equity and exit more than the dirt. Once entitlements are final and any appeal period has run, the appraiser can value the site for its approved use and the project can move toward a construction loan. Many construction lenders make final, non-appealable entitlements and issued or ready-to-issue permits a condition of closing.

The approval date also affects equity credit. If a sponsor bought land cheaply and entitled it, the lender still decides how much of the added value counts toward the equity requirement. Documenting entitlement costs and the approval record helps that conversation.

Conditions of approval cost money

Approvals rarely come free. Road widening, turn lanes, off-site utility extensions, drainage and detention, impact fees, park dedications, and affordability requirements are common conditions. Each has a cost and a timeline that belong in the budget and the schedule.

Lenders compare the conditions of approval against the construction budget line by line. A condition that appears in the approval letter but not in the budget is a gap the lender will find.

What to give a lender about entitlements

  • Current zoning and the approvals already granted, with copies of the approval letters or ordinances
  • Pending approvals, the hearing or review dates, and who is responsible
  • All conditions of approval with cost estimates and timing
  • Expiration dates on approvals and any extension requirements
  • Evidence that appeal periods have run
  • Utility will-serve letters and access approvals
